1. PARTIES
Arch Town Labs CIC ("Company") and the Sponsor/Member ("You").
2. SPONSORSHIP TERMS
2.1. Grant. You agree to pay the Sponsorship Fee.
2.2. Benefits. In return, the Company grants you the "Sponsor Benefits" listed on the site (e.g., logo placement, acknowledgement).
2.3. VAT. All fees are exclusive of VAT. If applicable, VAT will be charged at the prevailing rate.
3. MEMBERSHIP (RESIDENT STATUS)
3.1. Nature. Membership is a service subscription giving access to enhanced platform features ("Resident Status"). It does not confer legal ownership or voting rights on Company constitutional matters.
3.2. Asset Lock. You acknowledge that the Company is a Community Interest Company. Funds received are used for the benefit of the innovation community in accordance with our Asset Lock.
3.1. ACCEPTANCE OF STOCK AND SECURITIES
The Organization is authorized and willing to accept donations in the form of publicly traded stocks, bonds, mutual funds, and other securities ("Securities").
Valuation: The value of the stock donation will be determined based on the average of the high and low trading prices of the shares on the date the stocks are received in the Organization account.
Transfer Instructions: To initiate a stock donation, the Sponsor/Member must contact the Organization to receive the necessary DTC transfer instructions and brokerage account details.
Tax Acknowledgment: Upon receipt of the Securities, the Organization will provide a written acknowledgment letter stating the date of receipt and description of the securities for the Sponsor/Member’s tax records. The Organization does not provide tax advice; the Sponsor/Member is encouraged to consult with a tax professional regarding the deductibility of the donation.
4. BENEFITS OF SPONSORSHIP/MEMBERSHIP
In consideration of the contribution, the Organization agrees to provide the benefits listed in the specific Sponsorship Tier selected by the Sponsor/Member, which may include logo placement, recognition on the website, or access to events.
5. TERMINATION
The Company may terminate this agreement if you act in a way that damages the reputation of the community.
