1. INTRODUCTION AND ACCEPTANCE
1.1. The Parties. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Arch Town Labs CIC, a Community Interest Company registered in England and Wales under company number 15473363, whose registered office is at 124 City Road, London, United Kingdom, EC1V 2NX ("Arch Town Labs", "we", "us", or "our").
1.2. Nature of Services. Arch Town Labs provides an online ecosystem for the innovation community, enabling users to create profiles, publish content (including text, images, video, and files), and network with other innovators (the "Services").
1.3. Acceptance. By accessing, registering for, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1.4. Eligibility. You represent that you are at least 13 years of age. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.
2. COMMUNITY INTEREST AND ASSET LOCK
2.1. CIC Status. You acknowledge that Arch Town Labs is a Community Interest Company regulated by the Office of the Regulator of Community Interest Companies. Our primary purpose is to provide benefits to the community of innovators and researchers.
2.2. Asset Lock. The Company is subject to a statutory "Asset Lock" pursuant to the Community Interest Company Regulations 2005. This ensures that the assets and profits of the Company are dedicated to community purposes and cannot be transferred or distributed for private gain, except as strictly permitted by law.
3. USER ACCOUNTS AND "RESIDENT" STATUS
3.1. Registration. You agree to provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials.
3.2. Resident Status (Membership). Users may obtain "Resident Status" (indicated by a verified badge) by paying the applicable fees.
(a) Service Subscription: You acknowledge that payment for Resident Status constitutes a fee for services and community access, and does not confer statutory membership (i.e., you do not become a guarantor or member of the Company for the purposes of the Companies Act 2006 unless explicitly executed via a separate Guarantee Agreement).
(b) Funds Usage: Fees paid for Resident Status are contributions to the operational costs of the community ecosystem.
(c) Refunds: Except as required by the Consumer Rights Act 2015, all fees are non-refundable.
4. USER GENERATED CONTENT (UGC)
4.1. Ownership. You retain full ownership of all intellectual property rights in the content you post, upload, or display on the Services ("User Content").
4.2. License Grant. By posting User Content, you grant Arch Town Labs a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with the operation, promotion, and improvement of the Services.
4.3. Warranties. You warrant that: (i) you own or have the necessary rights to post your User Content; and (ii) your User Content does not violate the privacy, publicity, copyright, or other rights of any person.
4.4. Moderation. We reserve the right to remove any User Content that violates these Terms or our Acceptable Use Policy, or for any other reason at our sole discretion, without prior notice.
5. PROHIBITED CONDUCT
You agree not to use the Services to:
Violate any applicable national or international law, including the UK Online Safety Act 2023;Infringe the intellectual property rights of others;Transmit viruses, malware, or other malicious code;Engage in automated data collection (scraping) without our prior written consent.
6. DISCLAIMERS AND LIMITATION OF LIABILITY
6.1. "As Is" Basis. The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
6.2. Liability Cap. Nothing in these Terms excludes our liability for death or personal injury caused by negligence, or for fraud. Subject to this, Arch Town Labs CIC shall not be liable for any indirect, consequential, or special damages. Our total aggregate liability for any claim arising out of these Terms shall be limited to the greater of: (a) the amount paid by you to us in the 12 months preceding the claim; or (b) £100 GBP.
7. INDEMNIFICATION
You agree to indemnify and hold harmless Arch Town Labs CIC, its directors, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Services or your violation of these Terms.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1. Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of England and Wales.
8.2. Dispute Resolution. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
