1. PREAMBLE AND ACCEPTANCE
1.1. The Parties. These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("User", "You"), and Arch Town Labs US Hub, a Delaware non-profit corporation qualifying under Section 501(c)(6) of the Internal Revenue Code ("Arch Town Labs", "We", "Us").
1.2. The Federation Structure. You acknowledge that ArchTown.org operates as a decentralized federation of independent non-profit entities (the "Federation"). While these Terms are contracted with Arch Town Labs US Hub, specific services may be facilitated by our affiliates depending on your location:
United Kingdom & EEA: Arch Town Labs CIC (UK Community Interest Company).Asia-Pacific: Arch Town Labs Asia Limited (Hong Kong).CIS Region: Arch Town Labs ANO (Russian Federation).Strategic Advisory Services: Arch Town Labs FZE (United Arab Emirates).
1.3. Acceptance. By accessing the website archtown.org, registering an account, or uploading any content, you expressly agree to be bound by these Terms. If you do not agree, you are prohibited from using the Site.
2. MEMBERSHIP AND COMMUNITY STATUS
2.1. Non-Commercial Association. Arch Town Labs is a professional community dedicated to the advancement of innovation. Your participation and any payments made (including "Membership Dues" for Resident Status) are contributions to this mutual benefit association and not purchases of commercial goods, unless explicitly stated otherwise.
2.2. Resident Status. Users may obtain "Resident Status" (indicated by a verified blue icon) by paying the applicable annual dues. This status grants voting rights in community polls and elevated visibility but does not convey any equity or ownership interest in Arch Town Labs or its affiliates.
3. USER GENERATED CONTENT (UGC) AND INTELLECTUAL PROPERTY
3.1. Ownership. You retain full ownership of all text, files, images, photos, video, sounds, musical works, works of authorship, applications, or any other materials that you post on or through the Services ("User Content").
3.2. License Grant. By posting User Content, you grant Arch Town Labs a non-exclusive, fully-paid, royalty-free, worldwide, sublicensable, and transferable license to use, modify, perform, display, reproduce, and distribute such User Content on the Site and through the Federation's network for the purpose of promoting the innovation community.
3.3. Section 230 Immunity (Crucial for US/Global). You acknowledge that Arch Town Labs acts merely as a passive conduit for the distribution of User Content and is considered an "interactive computer service" provider under 47 U.S.C. § 230 (Section 230 of the Communications Decency Act).
No Publisher Liability: Arch Town Labs shall not be treated as the publisher or speaker of any information provided by You or any other content provider.
No Duty to Monitor: We have no legal obligation to monitor content. Any voluntary moderation efforts are undertaken solely to maintain community standards and do not waive our statutory immunity.
4. PROHIBITED ACTIVITIES (ACCEPTABLE USE)
You agree not to use the Site to:
Violate any applicable law or regulation (including US Export Control, UK Online Safety Act, and local laws).Infringe the copyright, trademark, or other IP rights of any third party.Upload viruses, trojans, or malicious code.Engage in automated data collection (scraping) without prior written consent.
5. STRATEGIC ADVISORY AND VENTURE BUILDING
5.1. Separation of Services. You acknowledge that Strategic Advisory, Venture Builder, and proprietary investment services are not provided by Arch Town Labs US Hub. These services are exclusively provided by Arch Town Labs FZE, a Free Zone Establishment registered in Dubai, UAE.
5.2. Separate Agreement. Engagement for advisory services is subject to the Strategic Advisory Agreement and constitutes a commercial transaction separate from your membership in the non-profit community. Arch Town Labs US Hub bears no liability for the commercial advice rendered by Arch Town Labs FZE.
6. DISCLAIMERS AND LIMITATION OF LIABILITY
6.1. "AS IS" Provision. THE SITE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
6.2. Liability Cap. IN NO EVENT WILL ARCH TOWN LABS, ITS DIRECTORS, EMPLOYEES, OR AGENTS (INCLUDING AFFILIATES IN THE UK, HK, RUSSIA, AND UAE) BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY SHALL BE LIMITED TO THE AMOUNT PAID BY YOU, IF ANY, DURING THE SIX (6) MONTHS PRIOR TO THE CAUSE OF ACTION.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. Jurisdiction. These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
7.2. Arbitration. Any dispute arising out of or related to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The seat of arbitration shall be Wilmington, Delaware.
7.3. Class Action Waiver. You agree to resolve disputes only on an individual basis and waive any right to bring a class action or representative lawsuit.
